According to Acacia earning call the merger is progressing as expected. The discount is now at 8% (with the 10.75 acquisition price). No reason the merger wouldn’t go through.

Not much volume (like half of normal, but stock above $11 today). No news

Looks like some people have pretty strong conviction that additional offers are being considered beyond Acacia's $10.75. There are almost no shorts on record currently (224k with days to cover of 1.6), so what happened yesterday with the spike to $11.50 could not have been a short squeeze and it might be a prelude to things to come.

Pride stood in their way last time with B Riley, it’ll happen again. They won’t part with the whole company and whatever part they do shave off, if ANY, will not justify this joke of a price. PT $8

The Market HATES these types of "Rights" issued for Mgmt. "defense" reasons. It "complicates" the ownership structure and rarely raises any cost-effective capital. 90% of the time, the Market will hammer equity whose Management engages in this type of protectionism! We expect SPOK will open Monday AM 6-8% lower due to this. As @Ben stated earlier, SPOK will trend to the mid-$8 range by the end of next week. Sorry, for the "negative" perspective going into a Holiday weekend.

Neither management or a director bought a single share when the stock just recently was around $7 - shows great confidence in what the are doing - NOT !!!!!!!!! If they don't think it is worth $7, why would outsiders want to play?

Great report! Q3 earnings of .16/share vs. a loss last year. Their second solidly profitable quarter in a row. They're sitting on over $4/share in cash. And pay a healthy 5.6% dividend yield. Might be worth buying for the dividend alone. Plus what I like about SPOK is that it's near the lower end of it's 2020 trading range between the $8's & $11's. I picked up some shares. Surprised it's not getting more of a pop considering the positive management commentary-

"While we are still operating under the impact and uncertainty of the pandemic and many of our customers continue to struggle with the challenges presented by COVID-19, our outlook is improving as we saw many positive developments during the third quarter," said Vincent D. Kelly, president and chief executive officer. "During the quarter, we saw significant increases in software operations bookings on both a sequential and year-over-year basis, as well as continued strong trends in our wireless business."

"Our software revenue backlog is at record levels and we generated nearly $4 million of adjusted EBITDA in the quarter."

"We are focused on driving positive free cash flow for 2020 and Spok remains committed to paying our regular quarterly dividend."

"As we pointed out last quarter, many of our new software deals were pushed back due to the pandemic. I am pleased to report that several of those deals were closed during the third quarter, including our first two significant Spok Go deals. And, we expect to report more deals in the fourth quarter as well."

This section is all you need to know and why this is a true “buy the rumor” situation:

“ The Rights will be exercisable only if, following the time of this announcement, a person or group (each, an "acquiring person") acquires beneficial ownership (including certain synthetic equity positions created by derivative securities) of 10% (or 20% in the case of passive institutional investors) or more of Spok’s outstanding common stock. In that case, each holder of a Right (other than the acquiring person, whose Rights will become void and will not be exercisable) will be entitled to purchase, at the then-current exercise price, additional shares of Spok’s common stock at a 50% discount. Any shareholders with beneficial ownership of Spok’s outstanding common stock above the applicable threshold as of the time of this announcement are grandfathered at their current ownership levels but are not permitted to increase their ownership without triggering the Rights Plan. The Rights Plan provides several important shareholder-friendly features, including an ability for shareholders to call a special meeting for purposes of exempting a "qualifying offer."”
TLDR; We’re pumping out PR to fluff our stock price then rejecting all buyout offers and doing a stock offering to “maximize shareholder benefit” in the long run. Capitalism 101!

When the offer is rejected, it’ll come right after they do the offering and the stock will plummet back to the $7.60-$7.80 range.

Why return capital to shareholders if there is a bookings backlog? We'll wait for the maintenance contracts.
