The Offers are subject to proration procedures described in the Offer to Purchase, dated May 12, 2020 (the "Offer to Purchase") and order of priority (the "Acceptance Priority Levels") as set forth in the table below. The terms and conditions of the Offers are described in the Offer to Purchase and remain unchanged except as amended by the press release issued earlier today announcing the early tender results and increase in consideration and as amended hereby.
