NEW YORK, Nov. 30, 2020 (GLOBE NEWSWIRE) -- Bragar Eagel & Squire, P.C., a nationally recognized stockholder rights law firm, has launched an investigation into whether the board members of IHS Markit Ltd. (NYSE: INFO) breached their fiduciary duties or violated the federal securities laws in connection with the company’s acquisition by an investor group led by S&P Global, Inc. (NYSE: SPGI).

On November 30, 2020, IHS Markit announced that it had signed an agreement to be acquired by S&P for approximately $44 billion. Pursuant to the merger agreement, IHS Markit stockholders will receive 0.2838 shares of S&P common stock for each share of IHS Markit common stock owned. The deal is scheduled to close in the second half of 2021.

Bragar Eagel & Squire is concerned that IHS Markit’s board of directors oversaw an unfair process and ultimately agreed to an inadequate merger agreement. Accordingly, the firm is investigating all relevant aspects of the deal and is committed to securing the best result possible for IHS Markit’s stockholders.
