* ENTERED AGREEMENT WITH RUDDIN ADVISORY AND BLUE OCEAN CAPITAL PARTNERS FOR PROPOSED PLACEMENT OF SHARES IN CO

* RUDDIN ADVISORY WILL SUBSCRIBE FOR 53.0% OF ENLARGED ISSUED SHARE CAPITAL OF CO FOR S$4 MILLION
